The case centres on the Berlinger Group, a sixth generation family business and a global provider of cold chain management solutions for the pharmaceutical and food industries. The CEO Andrea Berlinger-Schwyter must decide if the Berlinger Group should acquire the software company Antaris Solutions B.V. After three years of outsourcing software related work to Antaris, Andrea has learned that a large IT company has approached Antaris and offered a takeover bid. Andrea must now decide if Berliger should acquire Antaris and integrate it into the Berlinger Group? Alternatively, should Berlinger try to negotiate with the buyer in order to continue to utilize the services of Antaris?
